Welcome to wery.ai!
This Terms of Service agreement (hereinafter referred to as “this Agreement”) is a legally binding contract entered into between you (hereinafter referred to as the “User”) and SOMEYA LIMITED., the operating entity of wery.ai (hereinafter referred to as the “Platform,” the “Operating Entity,” or “we”), regarding your use of services related to wery.ai.
Please be sure to carefully read and fully understand the contents of all terms, especially the terms that exempt or limit liability, separate agreements for opening or using a specific service, and terms involving your material rights and interests. When you agree to this Agreement by clicking confirmation, checking a box, or otherwise through an online page, or when you actually use the Services, it means that you and we have reached agreement on the entire Agreement, that you have accepted all terms and conditions of use, and that you agree to be bound by the entire Agreement. If you do not agree to any content of the Agreement, please do not use the services related to this Platform.
If you are a minor, a person with limited capacity for civil conduct, or a person without capacity for civil conduct under the laws of your country or region, please read, judge, and agree to these Terms under the accompaniment and guidance of your legal guardian, and use the Platform services under the consent and guidance of your legal guardian.
I. Acquisition and Use of Services
1. The Platform provides services to you through web pages, applications (Apps, which may include different versions), and new forms of terminals that may emerge in the future with technological development. You shall download, install, access, and use the Platform through lawful channels officially announced by the Operating Entity.
2. The core service of the Platform is to use artificial intelligence technology models (including but not limited to AdGPT, etc.) to generate various creative content including but not limited to text, images, videos, audio, and designs (hereinafter referred to as “Generated Content”) based on the text, images, videos, instructions, materials, or parameters you input. The Operating Entity has the right to update, add, delete, or adjust service content and functional modules according to technological development, legal and regulatory requirements, or business needs. Relevant changes will be notified to you through platform announcements, in-site notices, and other methods. If you do not accept the changes, you may stop using the Services; your continued use of the Services shall be deemed acceptance of such changes.
II. User Eligibility and Registration
1. Eligibility Requirements
1) Individual users: You must be a natural person with full capacity for civil conduct. If you are a minor, a person with limited capacity for civil conduct, or a person without capacity for civil conduct under the laws of your country or region, you may not use the Services. If a guardian discovers that a ward is using the Services, the guardian shall contact us immediately, and we will handle the matter in accordance with laws, regulations, and these Terms.
2) Enterprise users: You must be a legally established and validly existing legal entity. During registration, you must provide lawful and valid supporting documents (such as a business license), ensure the authenticity, accuracy, and completeness of the information provided, and bear legal responsibility for all operations under the account.
2. Account Management
1) You must register an account using a real email address (enterprise users are advised to use an enterprise email address) and set a secure password. If information changes, you shall promptly update it in “Account Settings.” Any service abnormalities or losses caused by inaccurate or outdated information shall be borne by you.
2) You are responsible for keeping your account login credentials (username, password, verification code, etc.) secure and may not lend, rent, or disclose them. Risks arising from account theft or misuse (not caused by our fault) shall be borne by you. If you discover any account abnormality, you shall immediately contact us to freeze the account.
III. User Obligations
1. Compliant Use
When using the Services, you must comply with relevant laws and regulations of the place where the services are provided (including but not limited to laws and regulations in the fields of intellectual property protection and internet administration), and observe public order and good customs. You may not use the Services to engage in the following acts:
1) Generate, publish, or disseminate content containing illegal content (such as content endangering national security or public interests, involving pornography, violence, terrorism, discrimination, false fraud, vulgar or harmful information), or content infringing the lawful rights and interests of others (such as portrait rights, privacy rights, reputation rights, intellectual property rights, trade secrets);
2) Interfere with the normal operation of wery.ai services (such as maliciously attacking servers, uploading virus files, using crawlers to scrape platform data, or exploiting vulnerabilities to bypass service restrictions);
3) Bypass platform rules to abuse the Services (such as batch account registration, fraudulently obtaining material generation quotas, placing false orders, or using the Services for unauthorized commercial purposes or illegal activities).
2. Warranty of Rights in Materials
All content you input into wery.ai (including text instructions, parameter settings, reference cases, etc.) and materials uploaded to wery.ai (including text, images, video clips, audio files, design templates, etc.) must meet the following requirements. Otherwise, you shall bear all legal liabilities and all losses caused to us and third parties as a result (including but not limited to litigation fees, attorney fees, and compensation):
1) Intellectual property warranty: You have complete and defect-free intellectual property rights (including copyrights, trademark rights, patent rights, etc.) in the input content and uploaded materials, or you have obtained lawful and sufficient authorization (including licenses and sublicenses obtained from rights holders, with the authorization scope covering all scenarios of using the Services to generate content and subsequent commercial placement). There are no rights defects or infringement risks. If the input content or materials contain elements over which third parties enjoy intellectual property rights (such as fonts, images, music, design elements), you have obtained explicit written authorization from such third parties;
2) Portrait rights and personality rights warranty: For natural persons’ portraits, names, voices, personal information, etc. involved in the input content and uploaded materials, you have obtained the written consent of the relevant natural persons, ensuring that you do not infringe others’ portrait rights, privacy rights, reputation rights, name rights, or other personality rights. If public figures or specific groups are involved, you have complied with relevant laws, regulations, public order, and good customs, and there is no improper use or infringement;
3) Compliance and public order warranty: The input content and uploaded materials do not violate the laws and regulations of the place where the services are provided, industry norms, public order, or good customs; do not contain information endangering national security or public interests, or involving pornography, violence, terrorism, discrimination, hatred, false fraud, vulgarity, or harmful content; and do not harm social public morality or the lawful rights and interests of others;
3. Publication Responsibility
When you publish content generated using wery.ai, you must independently comply with the rules of the corresponding third-party publishing platforms (such as Google, Facebook, Instagram, TikTok, etc.). Penalties caused by publication violations (such as content removal, account bans, fines, or legal liability) have nothing to do with us, and you shall bear all responsibility and losses.
IV. Intellectual Property
1. User Material Rights
You enjoy complete intellectual property rights in the original materials you upload (text, images, videos, etc.). wery.ai uses such materials only for the purpose of providing services (such as AI model training, generating corresponding content, storage and management), and does not claim ownership of such materials.
2. Rights in AI-Generated Content
1) For content generated by wery.ai based on your needs (including text, images, music, videos, etc.), you are granted a non-exclusive and transferable right of use (subject to compliance with these Terms and relevant laws and regulations).
2) wery.ai retains all intellectual property rights in AI generation technology (including AdGPT algorithms, material generation engines, model architectures, training data, etc.) and the underlying functions of the Platform (such as interface design, system architecture, technical documents). You may not disassemble, reverse engineer, copy, or tamper with such technologies or functions, and may not infringe our exclusive rights in such technologies and functions.
3. Platform Intellectual Property
The trademarks, logos, interface designs, text descriptions, technical documents, icon materials, and other content on the wery.ai official website and in the Services are the intellectual property of us or our affiliates. They may not be used, disseminated, modified, copied, or used for unauthorized purposes without written permission.
V. Fees and Payment
1. Pricing and Currency
Service fees are priced in U.S. dollars (USD). Specific prices are subject to those published on the wery.ai official website. The exchange rate shall be the real-time settlement exchange rate of the payment channel. Exchange rate fluctuations do not affect the fees of paid orders. Price adjustments will be announced in advance through the official website.
2. Payment Methods
PayPal and international credit cards (Visa, MasterCard) are supported. The payment process is subject to the page prompts.
3. Fee Rules
1) You must pay the full order amount. After payment is completed, the order takes effect immediately.
2) Based on the nature of the Services, once AI content generation is completed, refunds for any reason are not supported (including but not limited to dissatisfaction with generated content, no longer needing the Services, mistaken order placement, etc.). Please carefully confirm order information, input instructions, and material requirements before purchase to avoid unnecessary losses.
3) If the Services involve “free trials” or “granted quotas,” payment is required to continue use after the trial/granted rights expire. Unused free quotas cannot be converted to cash or carried over to the next cycle.
4. Taxes
You shall bear all taxes arising from your use of the Services. We may provide compliant fee vouchers at your request (application path: “My Orders → Fee Voucher Management”). The specific calculation and payment of taxes shall comply with the laws and regulations of the relevant region.
VI. Suspension and Termination of Services
1. Circumstances Under Which We Terminate/Suspend Services
1) If you seriously violate these Terms (such as generating illegal content, misusing another person’s account, being overdue in payment for more than 15 days, abusing the Services, or infringing third-party rights), we have the right to unilaterally restrict, suspend, or terminate your account use, and notify you through in-site messages or your registered email address;
2) Due to legal and regulatory requirements, force majeure (such as natural disasters, network interruptions, public health events, government bans), or technical upgrades, we may suspend the Services and notify you 72 hours in advance through an official website announcement. Fees will not be calculated during the service suspension period (for monthly/annual services, the service period will be extended accordingly based on the suspension duration).
2. Circumstances Under Which You Terminate Services
1) Individual users: You may submit an application through “Account Settings → Security Center → Cancel Account,” and must settle unpaid fees before cancellation. After account cancellation, your information and creative content will be handled in accordance with the “wery.ai Privacy Policy” (necessary information will be retained in accordance with law);
2) Enterprise users: To terminate services, you must provide a written application stamped with the official seal (including contact person and account information) and send it to support@wery.ai. After our review and approval, we will process subsequent procedures. Paid but unused fees will be refunded on a pro rata basis according to the actual unused period (except for special promotion orders, which are subject to the promotion rules).
VII. Privacy Protection
We value the protection of your information. For rules regarding information collection, use, storage/transmission, sharing, etc., please refer to the “wery.ai Privacy Policy” (access path: https://wery.ai/privacy). Your agreement to these Terms shall be deemed as your simultaneous agreement to all contents of the “wery.ai Privacy Policy.”
VIII. Disclaimer
1. If AI-generated content is illegal or non-compliant, infringes third-party rights, fails to meet user requirements (such as quality, style, or effect not meeting expectations), cannot be used, or has other defects due to the following circumstances, wery.ai shall not bear any legal liability (including but not limited to tort liability, breach of contract liability, or compensation liability), nor shall it bear any refund obligation, and you shall bear all risks and losses:
1) The content you input (including text instructions, parameter settings, reference cases) or materials you upload are illegal or non-compliant, infringe third-party rights (such as intellectual property rights, portrait rights, personality rights), or contain rights defects or content defects;
2) The content or instructions you input are unclear, incomplete, or inaccurate (such as not clearly specifying requirements, incorrect parameter settings, or provided reference cases not matching requirements), causing AI to be unable to accurately understand the requirements and the generated content to fail to meet expectations;
3) You fail to conduct compliance review and risk assessment of AI-generated content and directly use it for commercial placement or public dissemination, resulting in illegal, non-compliant, or infringement risks;
2. We shall not bear compensation liability for the following circumstances:
1) Losses caused by your own operational mistakes (such as forgetting a password, mistakenly deleting materials, or incorrectly submitting product information);
2) Service interruption caused by force majeure, legal and regulatory requirements, or reasons not attributable to our fault;
3) Content deviations caused by technical principle limitations of AI-generated content (such as model training data or algorithm logic).
3. Special Statement
1) The services provided by wery.ai are delivered “as is.” We do not guarantee the “absolute accuracy” or “fault-free operation” of the Services. You must independently judge the applicability of AI-generated content (it is recommended to conduct compliance review after generation);
2) We shall not be responsible for content abnormalities caused by your use of third-party tools (such as material editing software not integrated with wery.ai).
IX. Dispute Resolution
1. Applicable law: These Terms shall be governed by the laws of the Hong Kong Special Administrative Region of the People’s Republic of China.
2. Dispute handling: If any dispute or controversy arises between you and us regarding these Terms or the Services, it shall first be resolved through friendly negotiation (negotiation email: support@wery.ai). If negotiation fails, either party has the right to file a lawsuit with a court of competent jurisdiction in the Hong Kong Special Administrative Region of the People’s Republic of China.
X. Miscellaneous
1. Changes to Terms
We may adjust these Terms according to business development or updates to laws and regulations. After changes, we will notify you through wery.ai official website announcements and in-site notices. If you do not accept the changes, you shall stop using the Services; continued use shall be deemed agreement to the changed Terms.
